(i) Purchase and Sale
The firm represents both purchasers and sellers of commercial real property
in connection with shopping centers, apartment buildings, hotels, offices
and excess development rights. The firm has provided legal
advice to clients to take advantage of favorable tax treatments such as 1031
Exchanges and sale-leasebacks. Calling upon other practice areas of
the firm, a client can obtain extensive due diligence services for administrative,
regulatory and litigation issues concerning the property to be acquired. The
firm also offers assistance to clients in identifying sources of financing,
both private and public. In addition, the firm provides residential
closing services for individuals looking to purchase homes, condominium units
and cooperative apartments.
(ii) Commercial Leasing
The firm has represented landlords in connection with the leasing of shopping
centers, taxpayers, office buildings and residential apartment buildings and
has negotiated major leases with nationally recognized retailers, financial
services institutions and restaurant chains. Since the firm has also
represented major tenants, it recognizes the need for a respectful give and
take in lease negotiations that will assist the parties in developing a long
term landlord-tenant relationship. On occasions, and even with the best of
intentions, such relationships can go awry and clients can call upon the strong
commercial litigation resources of the firm for assistance.
(iii) Lending
The firm has handled hundreds of millions of dollars of financings and refinancings
over the years and can assist clients in identifying and obtaining sources
of financing. Through
consolidation of existing debt, and the assignment of the debt of other parties,
the firm helps minimize the out of pocket closing costs of its clients. The
firm also represents several national and regional lenders in connection with
loan closings.
